1. Acceptance of Terms

By accessing or using Guidelite ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Guidelite is a strategic planning platform that helps organizations define objectives, manage plans and actions, assess risks, and track outcomes. The Service is provided on a subscription basis with tiered pricing.

3. Accounts and Access

You are responsible for maintaining the security of your account credentials. Each subscription is tied to a single organization. All plans include unlimited users within that organization.

4. Your Data

You retain full ownership of all data you enter into Guidelite. We do not claim any intellectual property rights over your organizational data, strategic plans, or any content you create within the platform. You may export your data at any time.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to other organizations' data
Interfere with or disrupt the Service or its infrastructure
Reverse engineer or attempt to extract source code from the Service
Use automated tools to scrape or extract data from the Service beyond approved API access

6. Subscription and Billing

Subscriptions are billed monthly or annually per organization. You may upgrade or downgrade your plan at any time; changes take effect at the next billing cycle. We offer a 14-day free trial for new organizations.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Enterprise plans include contractual SLA guarantees. We will provide reasonable notice before scheduled maintenance.

8. Limitation of Liability

To the maximum extent permitted by law, Guidelite's liability for any claims arising from the Service is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

You may cancel your subscription at any time. Upon cancellation, you retain access through the end of your current billing period. We may terminate accounts that violate these terms with notice.

10. Changes to Terms

We may update these terms from time to time. We will notify you of material changes at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

11. Governing Law

These terms are governed by applicable law. Any disputes shall be resolved through binding arbitration, except where prohibited by law.
